We provide professional services with respect to registration and operations of NGOs and Associations. This extends to both local and international NGOs. we assist with the process of registration of NGOs, drafting of NGO’s constitutions and Associations that fits the operations of the entities and obtaining other operational documents required for NGO operations in South Sudan. We further advise NGOs and Associations on acquiring and disposal of assets, winding up of NGOs and other aspects of its operations as captured in the Firm’s areas of practice.
Registration of Companies, Partnerships and Business Names
The first step to conduct business is to consider what form of legal entity it should take, We therefore advise clients on what form of legal entity best suits their business, and help clients in incorporation and/or registration of Companies these includes: domestic companies, subsidiaries, branch companies and incorporated joint ventures, registration of partnerships (general partnerships and limited partnerships) and registration of business names.
We further draft and/or review memorandum and articles of associations/or partnership agreements, share transfer instruments, resolutions and other company operations documents. We further assists the client in obtaining the operation documents required of the entity, and we also provides post registration services.
Family matters (Child rights, adoption and Divorce)
We provide technical legal services on family issues such as, marriage, divorce, adoption, guardianship, and on reunification of children with their families. The Firm also handles mediation in divorce matters and Women rights in divorce cases.
Banking and Insurance
At Witness law advocates we offer professional legal services on electronic Money and e-banking policies and regulations, the firm is competent to advise on policies related to adoption of cryptocurrencies and other form of digital currencies, we have been involved in providing legal advice to insurance and banking institutions.
We offer legal opinions on a number of issues, including but not limited to secured lending, cooperate governance, capital reserves and minimum capital requirements, bank shareholding and operations of customer accounts.
We further advise Insurance companies on a number of issues, including but not limited to the registration of insurance companies, advising on capital requirements and compensation arising from insurance covers, and compliance with the Central equatorial Insurance Regulatory authority.
Employment and Labour
We offer a variety of professional legal services ranging from providing legal opinions on labour and employment matters, we represent employees in labour disputes, we further provide expert legal service to employers to prevent employment dispute due to misunderstanding or misinterpretation of the LAbour laws
The Firm also provides services with respect to obtaining and renewal of work permits for its clients, and training of Human Resources officers on employment and labour laws.
Land sale, purchase, use and development
Land disputes forms 30% of litigation disputes in the High courts of South Sudan, However team offer legal services that enables clients to avoid legal disputes on land transactions by conducting due diligence to protect our clients and ensure safe transactions. We also conducts searches to ensure that there is no third party claim to the land that is likely to affect the rights of the client. In addition to the foregoing, the Firm also offers services with respect to mortgages, construction agreements, transfer of land with consideration or freely by way of gift between natural persons and organizations/companies and other forms of conveyance of title.
The Firm has on several occasions advised clients on taxation law. Areas of taxation commonly advised on are: the registration of tax payers and filing of tax returns, personal income tax, business profit tax, excise tax, entitlement to tax exemptions, rental income tax and aspects of double taxation.
We provide experts legal opinion on Intellectual Property laws and practice, including Digital IP and the implication of Artificial Intelligence (AI) on IP laws most specially AI generated works (patent and copy rights), the law firm further provides services with respect to Trademarks and Service marks. The services include but are not limited to registration of trademarks and/or service marks, filling objections to registration, filing priority claims in South Sudan and matters regarding trademark license agreements, and litigation arising from violation of IP rights.
